*I agree to appoint Hong Kong Commons Limited (“HKC”, collectively with its officers, agents, represtatives, employees and contractors, “Startitup”) as my lawful attorney-in-fact and agent, and hereby grant, authorize and empower Startitup to act singly or in concert for me for the limited purpose of preparing, completing, executing and filing out andy and all documentation, forms, schedules, agreements, exhibits and such other materials, information, data and records as may be required, as the case may be, with the Hong Kong SAR Companies Registry, the Hong Kong Inland Revenue Department and such other governmental bodies, entities, agencies and departments, as the case may be, directly or indirectly in connection with the establishment and incorporation of my company (as the case may be), company secretary, designated representative, banking, accounting, bookkeeping, technical, design, security, administrative and/or other company or business services as well as the appointment of director(s) of the Company, the issuance, assignment and/or registration of shares and such other matters and corporate actions and duties as requested by me for myself, other shareholders, directors or officers or for my company (collectively, the “Services”). I also authorize Startitup to retain records and documents and to take such actions as may be required under applicable law (“Retention and Compliance”).

The company and I understand this special power of attorney is limited to the specific acts above and is made effective as of the date of this order and shall continue in full force and effect until revoked by me or another authorized representative of the company. I also understand that my order and Services, Retention and Compliance are all subject to the terms, conditions and policies of Staritup currently in effect and subject to change. Unless otherwise stated in writing, none of the fees, payments or monies paid or remitted for the Services, Retention and Compliance are refundable. The company and I jointly and severally agree to indemnify and hold Startitup harmless from any liability, costs or damages in connection with the Services and Retention and Compliance and from any activity, operations, agreements and/or conduct on my behalf or my Company. I understand that this special power of attorney and the appointment, authorizations and delegations made thereunder will not be deemed revoked or superseded, or otherwise affected, by my illness, incapacity or death until such time as the earlier occurring of either (i) a period of one year will have elapsed from the date of such illness, incapacity or death, or (ii) the receipt by Staritup of a writing that revokes this special power of attorney issued by my or the company's lawful personal representative, custodian or conservator.
